Daily Forex Analysis - October 24, 2008

USDJPY Analysis.
Being supported by 95.77 (Mar 17 low), USDJPY rebounds from 95.93 level. The pair is now testing 95.77 long term support, a break of this level will signal deeper decline towards 94.00 zone. However, the rise from 95.93 could possibly be resumption of up trend, further rise towards 99.50 level to reach next short term cycle top is possible next week.


USDCAD Analysis.
USDCAD pulls back from 1.2740 and is in consolidation to up trend. Initial support is at the up trend line from 1.1304 to 1.1740, as long as the trend line support holds, we’d expect up trend to resume, and further rise towards 1.3000 is still possible. Only fall below the trend line support will indicate that the uptrend from 1.1304 has completed and then deeper decline could be seen to 1.2100 zone.


USDCHF Analysis.
USDCHF is forming a short term cycle top at 1.1710 on 4-hour chart. Consolidation in a range between 1.1500 and 1.1710 could be seen in next several days. As long as 1.1500 support holds, we’d expect uptrend to resume, and further rise is possible to 1.2000 zone after consolidation, a break of 1.1710 will signal resumption of up trend. Only fall below 1.1500 will indicate that the up trend from 1.1128 has completed and then pullback to 1.1400 zone is expected to follow.


AUDUSD Analysis.
Being supported by 0.6495, AUDUSD rebounds from 0.6528 level. The pair might be forming a short term cycle bottom on 4-hour chart. Further rally towards 0.7064 is possible later today, a break of this level will signal further rise to test 0.7237 level.


GBPUSD Analysis.
GBPUSD remains in down trend, and the fall from 1.7630 extends to as low as 1.6043 level. Further fall is expected to 1.5800 zone, and a break below 1.6043 will signal resumption of down trend. Initial resistance is at 1.6500 followed by the upper boundary of the price channel.


EURUSD Analysis.
EURUSD rebounds from 1.2727 and is testing the price channel resistance, deeper decline could be seen to 1.2500 zone if the price channel resistance holds. However, above the channel resistance will indicate lengthier consolidation is underway, and delay the resumption of down trend.

USDCAD extends to as high as 1.2597 level. Further rally towards 1.3000 zone to reach the next short term cycle top on 4-hour is still possible. Initial support is at the up trend line from 1.1304 to 1.1740, as long as the trend line support holds, up trend to continue.


USDCHF Analysis.
USDCHF’s up trend extends to as high as 1.1710 level. Further rise is still possible to 1.1800 zone. Initial support is at 1.1500, as long as this level holds, we’d expect up trend to continue.


AUDUSD Analysis.
No changed in our view, AUDUSD is forming a sideways consolidation in a range between 0.6330 and 0.7237. As long as 0.6495 support holds, we’d expect up trend to resume and one more rise above 0.7237 previous high to reach next short term cycle top on 4-hour chart is still possible after consolidation.


GBPUSD Analysis.
GBPUSD remains in down trend, and the fall from 1.7630 extends to as low as 1.6136 level. Deeper decline could be seen to 1.5800 zone this week. Initial resistance is now at 1.6500, as long as this level holds, down trend will continue.


USDJPY Analysis.
USDJPY breaks below 94.91 previous low support and reaches as low as 97.22 level. Deeper decline towards 95.77 (Mar 17 low) support could be seen in next several days. Near term resistance is at 99.50, as long as this level holds, we’d expect down trend to continue.


EURUSD Analysis.
EURUSD remains in down trend, and the fall from 1.3785 extends to as low as 1.2727 level. Further fall is expect to 1.2500 zone in a couple of days. Near term resistance is at the upper boundary of the price channel, now at 1.3025, as long as this level holds, down trend will continue.

USDCAD breaks above 1.2123 previous high resistance and reaches as high as 1.2207 level. Further rally towards 1.2400 is still possible in a couple of days. Initial support is at the up trend line from 1.1304 to 1.1740, a break down below the trend line support will indicate that the rise from 1.1304 has completed and then pullback towards 1.1500 zone could be seen.


USDCHF Analysis.
USDCHF is in up trend. Further rise towards 1.1700 is still possible in a couple of days. Near term support is now at 1.1450 and followed by 1.1280 level. A break below 1.1450 will signal consolidation to up trend, and then pullback could be seen to 1.1400 zone.

EURUSD breaks below 1.3258 previous low support and reaches as low as 1.3001 level. Deeper decline could be seen to 1.2700 in a couple of days. Initial resistance is now located at 1.3258, and followed by the down trend line on 4-hour chart. As long as 1.3258 level holds, we’d expect down trend to continue.

AUDUSD is forming a sideways consolidation in a range between 0.6330 and 0.7237. One more rise above 0.7237 previous high to reach next short term cycle top on 4-hour chart is expected later today. Initial support is at 0.6730 and followed by 0.6495 level.


GBPUSD Analysis.
GBPUSD formed a short term cycle top at 1.7630 level. The rebound from 1.7136 is treated as consolidation to down trend. Deeper decline could be seen to retest 1.6786 previous low support, and a break of 1.7136 will confirm the resumption of down trend.


USDJPY Analysis.
No changed in our view, USDJPY is forming a sideways correction in a range between 97.91 and 103.06. Further fall to test 95.77 (Mar 17 low) support could be seen after correction, and a break below 97.91 level will confirm such case. On the other side, the next cycle top on daily chart is nearing, one more rise above 103.06 to reach the cycle top is still possible in a couple of days.


EURUSD Analysis.
EURUSD traded in a range between 1.3258 and 1.3785 for several days. Further fall towards 1.3000 zone to reach next short term cycle bottom could be seen in next few days. Initial resistance is at 1.3540 and key resistance is at 1.3785, only break above 1.3785 level could signal lengthier correction to down trend.

Being contained by the resistance at 1.2123, USDCAD pulled back from 1.1995 level last week. Trade in a range between 1.1304 and 1.1995 is expected in next several days, and deeper decline could be seen to test 1.1304 level. USDCAD is moving to the next short term cycle top on 4-hour chart. Further rise towards 1.0560 is still possible later today. However, the rise from 1.0297 is treated as correction to the down trend. Pullback to retest 1.0297 level could be seen in a couple of days, and a break below this level will signal deeper decline to 1.0200 zone.


EURUSD Analysis.
EURUSD drops below the up trend line from 1.3881 to 1.4150. The next target would be at 1.4150 level. As long as this level holds, we’d expect up trend to resume and one more rise above 1.4867 previous high is still possible. Initial resistance is located at 1.4575, above this level will indicate that the fall from 1.4867 has completed.

GBPUSD is testing 1.7916 support. Deeper decline could be seen to 1.7750 zone if this support gives way. However, the next cycle bottom on 4-hour chart is nearing, rebound towards 1.8400 zone would more likely be seen before breaking bellow 1.9716 level.

USDJPY failed to test 107.01 key resistance and pulled back sharply from 106.96 level. The pair is testing 103.54 previous low support, a break down below this level will signal deeper decline towards 102.00 zone.


USDCHF Analysis.
USDCHF pulls back from 1.1086 and is forming a short term cycle top on 4-hour chart. Key support is located at 1.0800, a break of this level will confirm the cycle top, and deeper decline could be seen to follow, the first target would be at 1.0500 zone.


AUDUSD Analysis.
AUDUSD drops sharply to as low as 0.7929 level. Deeper decline is still possible to retest 0.7802 previous low support. However, this level would more likely be held and rebound is expected before breaking below this level.

When a couple steps forth with a baby in tow everything in life is stable and normal. People hold open doors, hard shopkeepers “chuck” and go all gooey before catching themselves and generally life is an easy ride. But gentlemen, when he who dares to step-out with a baby in tow (minus the wife) life becomes a series of obstacles that never ceases to surprise.

I don’t mean a trip to the corner shop, “no siree”! I mean a fully-fledged trip into town, pram, milk bottles and spare nappies to boot! Small things are immediately noticeable, like that hard and mean-looking grocer down the road! When my wife goes in to his establishment he goes all gooey, in fact he doesn’t notice me at all; just talks to my wife and son and ignores me as if I was the invisible man. But walking in to his shop with only my son, an apple to buy before the days outing ahead and he became meaner and harder. In fact he noticed me for the first time, glared at me as if I had just stolen the kid and was on the run and said “hope that’s not for the little one”! I felt like saying what’s it got to do with you mate but ……………on the bus the driver who suggested that I sit near the front instead of upstairs was nearly out of his seat and taking the part of usher before realizing that this was not really in his job description!

Somehow some basic human instinct suggests that ‘man’ is neither capable nor fit to look after a baby! This instinct immediately raises the hairs on the backs of people’s necks, images of disaster loom in their minds and unseen forces push them forwards to offer help. They do not see a happy and carefree father pushing his laughing baby along in the pram, they see a harried father who is at his wits end and who is desperate for help. They see a tormented and unwilling baby, screaming and kicking in desperation, a father who is pulling his hair out and desperately looking around for somebody to just show him what to do.

Once in town and in the department store I headed straight for the baby changing room! Same routine as always except minus one cog – the wife! I did what I had done so many times before whilst my wife had sat down to read a magazine. Well, the plan was the same as all those times before, make the milk give my son the bottle, lay him down on the nappy changing “thingy”, change his nappy, etc! I did not even get as far as the hot water dispenser! One mum, before I had even entered the room stopped me in my tracks and in a very serious way informed me that the seat belt on the pram was not fastened. One has to be polite in situations like these; I myself planning ahead as always had removed the seat belt just then in preparation for lifting my son out of it once inside the baby room. I did not know of the golden rule that one cannot unfasten the seat belt until well inside closed doors!

Inside the room, some mystical being ran around the room telling all of the mums that a ‘father-alone’ was out and about! Upon entering heads swiveled in my direction, a series of forces pushing bodies towards me and unwanted advice started to escape from mouths. Once past I could hear whisperings, stories being generated and past on; a fictional myth growing in reality to become truth in mind! I shut myself off, warded off the numerous hands that where heading towards my sons cheeks like locusts, barged through with forced smiles and “no thanks”, and managed to get to the water machine. I smiled politely to the lady who showed me how to press the button for hot water, grimaced when told that the milk I had made was too hot (how did she know?) and nearly barked when asked “is the wife in not well dear”!

These kindly mums, whose husbands obviously knew nothing about how to change a nappy or feed a baby his milk, had my son crying within five minutes. He doesn’t like attention in the form of searching hands. He especially doesn’t like getting his cheek pinched or chin chucked! I felt like shouting “give him air” or wading in with elbows to rescue him but they were all so well-meaning, these poor mums! Needless to say that as my sons screaming and bawling intensified to maximum pitch the mums turned to me as one as if to say “look at the poor man, doesn’t know how to look after his baby”.

Naturally as they confirmed their belief that I was totally inept and useless, wandering hands gained purpose and started to lift my baby out of the pram to offer him comfort – my son hates strangers holding him! Well, I made a run for it, I grabbed the baby in mid-air, swiveled the pram around on a sixpence, closed my eyes tight and charged for the door, throwing aside mothers like pins at the bowling alley!

I went to the men’s toilet to change my son’s nappy! At least in the sanctity within, nobody talked to me, no advice was freely given and no insects to ward off. I suppose all is not so bad! A new dimension opened up, one that it would be best if my wife knew nothing about! I have never in my life had so many young ladies (ones who wouldn’t know what the inside of a baby changing room looked like) surrounding me; albeit they were cooing at my son but ……… something about single men with babies must be an attraction. Anyway, I always enjoyed their reaction when saying loudly, “ah, here’s my wife coming now”, the desertion was abrupt and complete! I know how to handle that one; it’s the rest that bothers me!

150 Million Year Old Baby Bird Fossil W Hide Scraper


I was using my metal detector in the foothills of Tucson, Arizona. As luck would have it, I never find what I am Seeking. As the day started to come to an end. I was walking back to my truck with the metal detector resting on my shoulder.

I caught sight of an unusual looking rock laying on the ground. After picking up the rock I dusted the rock on my pant leg and noticed a fossilized baby bird just off center of the stone. I turned the stone over to reveal more of the bird’s body on the back of the stone.

After showing the bird off to some of my friends, I decided to take the stone to the University of Arizona. I wanted to learn more about what I had found.

My first stop at the U of A was at the American History Museum. I was told to take my stone to the Paleontology Department across the lawn in front of where I was. When I got there I saw a professor in his office. I asked him if I could talk to a Paleontologist. He asked why, so I handed him the stone and preceded to tell him how I had found the stone. His eyes got big with excitement as he examined the stone while we walking down the hallway to another office. Soon theirs were several professor and people looking at the stone in awe over my good fortune. As they talked, I listened.

The rock I found was secondary sedimentary solidified black limestone. Which is not indigenous to this area. I was told the rock could have come from Canada, Montana, Kansas, China, or even from South America.

The baby bird fossil was 150 million years old. This period in time is when birds evolved from reptiles. Another professor pointed out to me other inclusions that were in the stone like plant matter, twigs, and other foreign objects not identifiable to him. A professor stated that there was proof that this rock was found on the top of the ground the impact marks etched into the rock as the rain hit the front of the stone for thousands of years while it lay on top of the ground. The marks were small circular pockets about the size of a pencil eraser grouped together. It was also mentioned that there was once other bones near the chest of the bird that had fallen out over time but the imprint of the bones are still visible. They could not identify the species of bird, as there is nothing on record, to compare it to.

I was asked by one of the professors if I wouldn’t mind waiting for one more professor who was still in class to come see the stone. He stated that this professor was part of their group and they wanted his opinion of the stone.

As he approached, I handed him, the stone. He looked at it for a moment and stated that this stone was an artifact that had been carved by primitive man into a tool used to scrape the flesh away from the hide of game killed for food. It turned out that this mans background is in the field of Archeology. A silence fell on the people gathered we listened to information being given about this rare find.

The archeologist asked one of the professors if he could borrow his microscope to look at the stone more in depth. The group moved down the hall to a small office where we entered. As I stood by his side, he examined the stone and stated that there were glassy areas on the sharp edge around the stone that were not visible to the naked eye. He said that the tendons and ligaments had polished parts of the stone while being used. He also stated that the hide scraper was in mint condition and had hardly been used. He went on to say that most hide scrappers that we see today in museums are small ovals that are badly worn due to their use, and then discarded when they become too small and useless. He also said that he had never seen a slightly used hide scraper before.

He made mention that he wished he knew what group of people had carved the hide scraper. He thought that person who carved the stone might possibly be the first person to be recorded or documented as the first person to be a collector of fossils. He also said that these primitive people were farmers, artists, traders much like the people of today.

He also stated that the position of the bird and the way it was hand carved into a tool to portrayed the bird in such a manner that this item would be considered true fossil art.

After things started to wind down, I felt as several people like me, were in every sense of the word in awe over what this man had to share with us. One of the questions I asked was how much was this unique item I had found worth? The answer was that this artifact with a fossil inside of it had never been seen, documented or recorded anywhere in the world. So because there was nothing to compare it to, this item would be considered priceless.

As people were leaving, a young lady, still full of excitement, that if she was me, I should take a picture of the hide scraper and put it on the internet, and said that I should put a price of 20 million dollars, being that there is only one of these unique hide scrapers in the world. The chances of finding anything like it again are probably one in a trillion.

To date I am the only one in the world that has found anything like this ever. Owning this rare Jewel is overwhelming and too great for any one person to own, so I would like to share my enthusiasm with you and your friends.

2. Check the tag dates and the addresses to make sure they are correct. Many of the counterfeits have the wrong date on the tush tag.

3. Compare the tags of the suspect Beanie Baby with the tags of another Ty Beanie Baby that you know to be authentic.

4. Is the type on the tags too light or too dark? Is it the right typeface?

4 Tips for Taking Great Baby Pictures Even If You are No


When my daughter Layla was born I had a hard time putting the camera down. And apparently I wasn't the only one. The cashier at the photo developing shop told me that new parents comprised a fairly sizable chunk of their business.

We can't help it! Babies are such beautiful creatures that you want to capture every new movement and every fleeting smile that comes along. (Even if that smile is attached to a smelly gas bubble!)

However the problem many parents have is that their lack of good photography skills can translate into pictures that are too dark, too bright, blurry, out of focus, uncentered, and so on. Perhaps this describes you.

If so, don't sweat it. These problems are easily fixable. An album full of mishaps can quickly be transformed by following these 4 tips...

1) When taking pictures of babies lying on their backs, stand directly over them and shoot straight down.

I used to take a solid color baby blanket and place it on the floor in a bright, sun filled room. When I was ready to take a picture I would put Layla on the blanket, and adjust it around her, making sure not to put her directly in the sunlight. Then I'd get on my knees right over her, aim straight down and snap away.

This technique will allow you to center the camera properly and you'll get some great close-up shots. The natural sunlight will often give you just enough light so your picture isn't too dark or too bright.

2) Capture a range of emotions.

Smiling babies are cute. But so are crying babies and pouting babies and messy babies and sleeping babies.

Be sure to take pictures of your little one in all phases of his or her emotion filled life. You'll be amazed at how truly beautiful they are in non-traditional picture taking situations.

3) Make bath time picture time.

While there are some babies who don't like water, most love it. They often become very expressive in the bath tub - laughing, cooing and splashing. So bath time often becomes a great opportunity to capture a few precious shots of your little one.

I've personally used the bathtub to document how Layla has changed over her 2+ years. Every couple of months I take a few close-up pictures of her in the bathtub. Then I take the best one and place it in a special section in the photo album.

It's truly amazing to see how her face changes so dramatically with each new picture.

4) If you use a disposable camera, choose a good one.

I purchased 3 dirt cheap disposable cameras before I had Layla. When we brought her home these were the ones we used for the first week of photo taking.

Boy was I disappointed! The pictures developed horribly. And as a new mommy with hormones still raging, you know how sad this made me. Those cuddly little moments can never be relived again.

I learned a good lesson though. You get what you pay for.

Now my disposable camera of choice is the Kodak Max HQ. It's one of the more pricey disposable cameras. However the quality is fantastic in comparison to other disposables I've used.

You can usually buy them inexpensively on eBay. Popular retailers like Target and Wal-Mart also run sales on them quite frequently.

Ann Coulter vs One Billion Arabs

In a recent column, Ann Coulter expressed indignation regarding an apparent Federal Aviation Administration policy not to perform searches on more than two Arabs at a time. I was not aware of this policy, but not surprisingly, Coulter would like all Arabs stopped and searched. You know, because they’re Arab. I think Coulter is applying some sort of twisted logic to this subject. Something along the lines of, “The terrorists that attacked the United States on 9-11 were Arabs. Therefore, all Arabs are terrorists.” In essence, Coulter is advocating racial profiling. Which is an odd position for an attorney with a background in constitutional law to take. Innocent until proven guilty? Not if you look like you are an Arab. It was John Lehman, a member of the 9-11 Commission, that had brought attention to the policy that prohibits airlines from searching more than two Arabs at a time. To this, Coulter writes, “In a sane world, Lehman’s statement would have made headlines across the country…that it is official government policy to prohibit searching more than two Arabs per flight.”

African-Americans have dealt with this kind of injustice for years. And while Coulter thinks racial profiling is sound law enforcement policy, I have another word for it: racism. But that’s just me. And when you apply Coulter’s logic to other scenarios, the logic stops making sense. For instance, The FBI has profiled serial killers and what has emerged is that the majority of serial killers are white males. Does that mean the FBI should stop every white male in a particular city or region where a serial killer has struck? Of course not. That would be stupid.

So, even though she supports a racist method of law enforcement, it would not be fair for me to say Coulter was a racist. I don’t know Ann Coulter, so I can’t say she’s a racist. That would be wrong. Maybe we can find some answers in her columns!

Here’s a good one. September 25, 2002. Why We Hate Them. Coulter writes, Americans don't want to make Islamic fanatics love us. We want to make them die. There's nothing like horrendous physical pain to quell angry fanatics. So sorry they're angry – wait until they see American anger. Japanese kamikaze pilots hated us once too. A couple of well-aimed nuclear weapons, and now they are gentle little lambs. That got their attention.

No love lost there, eh Ann? Maybe we should emulate the policies of the Hitler-era German government. They didn’t like Jews very much, so they rounded them up and killed millions of them.

Conservatives do a lot of whining about how liberals are always quick to label conservatives as “racists” or “homophones” or “stupid.” These assessments, at least for me, are based on what I hear coming out of a conservative’s mouth, or what they write.
Actually, conservative hate-speak is very easy to pick up on. Take Sean Hannity. He likes to begin sentences with statements like “You liberals…” or he’ll say “You and your liberal friends…” The key is to take the word liberal and replace it with a minority. Give it a try the next time you hear Hannity, or some other right-winger, on television or read it in print. If you can stomach hearing Hannity. Maybe you’ll need to find someone less annoying.
Speaking of annoying, let’s get back to Coulter. In her Sept. 4, 2002 column, titled Murder for Fun and Prophet (get it? Prophet refers to the Prophet Muhammad. Hilarious!), at the end of the column, Coulter dismisses the Muslim faith as irrelevant. “Muhammad makes L. Ron Hubbard look like Jesus Christ. Most people think nothing of assuming every Scientologist is a crackpot. Why should Islam be subject to presumption of respect because it's a religion?”
That’s right, Ann! Over one billion people around the world are crackpots because they are Muslims. Idiots! As a comparison, there are only a few million members of the Church of Scientology, according to the Religious Tolerance web site.

And let’s not forget Ann’s most infamous column, from Sept. 12, 2001. At the end of that column, she says, “We should invade their countries, kill their leaders and convert them to Christianity. We weren't punctilious about locating and punishing only Hitler and his top officers. We carpet-bombed German cities; we killed civilians. That's war. And this is war.”

Call me crazy, but I get the impression that Arabs and/or Muslims are not Ann’s favorite people.

For instance, in an interview with the Guardian of London newspaper on May 17, 2003, Coulter said, “This is my idea…I think airlines ought to start advertising: 'We have the most civil rights lawsuits brought against us by Arabs.’” Oh, man, Ann, my sides are splitting! In fact, as a solution for Muslims to use air travel, Coulter offers helpfully, “They could use flying carpets!”

Flying carpets! Brilliant! Ann, you know, if the whole racist pundit thing ever comes to an end, you’ll have a career in stand-up comedy.

We know Ann hates liberals, and it’s pretty clear she hates Muslims. And, apparently, Scientologists. I don’t know what Ann likes. My guess will have to be, hearing her voice. Or Sean Hannity’s voice.

Airventure 2003 WOW!

If you're just getting back from OshKosh, I'm sure you'll agree. . . Great Show!
In the seven years that I've made the pilgrimage, I've still not seen it all!

This year, I committed to see parts of the show that I'd still not seen before.
I visited the Fly Market - a collection of vendors selling everything from aircraft parts to T-shirts.
I walked through the Airbus Beluga and was amazed by its capabilities.
This year was the first year I ate from one of the food concessions! In the past, I've left the grounds for a lunch but found that I was losing too much valuable Airventure time.

But even with a 4 day trip, it's impossible to see everything! I'll just have to go back again next year!

Things I still need to see at OshKosh:

1. I haven't been to see the Warbirds yet.

2. Haven't been to the flight line for the airshow.

3. Haven't experienced the nightlife at the campgrounds, including the beer tent and live music.

4. Need to see KidVenture where kids create and learn with the NestleQuick Bunny!

5. Haven't camped under my wing. . .

6. In fact, I haven't flown into OSH! Appleton was quite a bit calmer, but perhaps I'm missing an important part of the Airventure experience.

Well, it's a year away from next year's show, but I'm making my plans now.

It always surprises me when a potential aircraft buyer is unsure of whether he or she should use a purchase agreement when buying an aircraft. Most of these individuals have purchased homes and no doubt used a purchase agreement in such transactions. Yet, many of these same individuals would spend the same amount of money to purchase an aircraft, and often times a great deal more money, without the protection of a written aircraft purchase agreement.



Aircraft purchase agreements should be used in almost every aircraft sale transaction. First, the law in most states requires that a contract for an amount greater than $500.00 be in writing in order for it to be enforceable. This is called the statute of frauds. Although exceptions to this legal doctrine exist, complying with the law is usually safer than hoping you will be able to take advantage of an exception.




Further, using an aircraft purchase agreement can also help avoid confusion and misunderstandings. If the agreement clearly explains how the transaction will happen, when it will happen and what is included in the deal, the greater the likelihood that the buyer and seller will each know the other party’s expectations and the less chance for surprises or misunderstandings.



What Terms Should Be Included?



The number and complexity of the terms that should be included in an aircraft purchase agreement will often times be dictated by the type and value of the aircraft being purchased/sold. Although by no means inclusive, the following terms provide a good place to start.



Identify the Parties. The agreement should identify who is selling the aircraft and who is buying the aircraft. Although this sounds simple to do, it isn’t always clear who is the seller and who is the buyer. It is very common for aircraft to be registered in the name of a corporation or limited liability company. In that case, the individual with whom you are negotiating is not the owner of the aircraft and should not be listed as the seller. The registered owner of the aircraft should be identified as the seller.



The buyer on the other hand, can be an individual or a corporation or limited liability company. If an individual is the buyer, that person will be listed and upon registration will be the record owner of the aircraft. To fully take advantage of release and indemnity language discussed in greater detail below, the seller may also want to consider having an individual buyer’s spouse execute the purchase agreement.



If a corporation or limited liability company will be registering the aircraft, the purchase agreement should identify that entity as the buyer. Alternatively, an individual can sign an agreement as the buyer and, as long as the agreement allows the buyer to assign his or her rights under the agreement, that individual may still assign the agreement to a corporation or limited liability company prior to closing. The corporation or limited liability company then becomes the buyer and can close on the transaction without the individual ever entering the chain of title. From a liability perspective, this can be important.



Identify the Aircraft. The aircraft purchase agreement should identify the aircraft with as much detail as possible. At a minimum, it should include the make, model, N-number and serial number for the aircraft. Ideally, a list of all avionics, logbooks, handbooks, additional equipment and any accessories should be included. Also, if the seller intends to retain certain items, those items should be specifically identified and excluded from the transaction. By taking the time to detail exactly what is and isn’t being sold, you will prevent misunderstandings at delivery.



Purchase/Sale Price. The agreement should specify how much is being paid for the aircraft. If the buyer will be giving the seller a deposit or earnest money, that fact should be included. Also, what happens to the deposit when it is given to the seller? Will the money be placed in escrow or simply held by the seller? If an escrow agent is not involved, the buyer will need to obtain some assurance that his or her deposit will not simply disappear into the seller’s pocket making the buyer’s recovery from the seller difficult or impossible if the transaction does not close. The agreement should also state under what conditions the seller must refund the deposit to the buyer.



The buyer’s method of payment should also be stated. Is it a cash transaction or will financing be involved? If financing is involved, the buyer may want to include language that makes the transaction contingent upon the buyer obtaining financing on terms acceptable to the buyer. That way, if the buyer isn’t able to obtain satisfactory financing, the buyer will not be forced to complete the purchase on financially unacceptable terms.



Will other consideration be given to the seller, such as a trade? If so, to the extent that it is possible, the item(s) to be traded to the seller should be identified with the same amount of detail used to describe the aircraft being purchased. This will help avoid later confusion.



Documents. The agreement should include a statement about which documents the seller will sign and deliver to the buyer at closing. Usually this includes a Bill of Sale (FAA Form 8050-2) and a signed current Registration Form (FAA Form 8050-3).



Pre-purchase inspection. In most transactions, the buyer will want to have a pre-purchase inspection performed on the aircraft. The purchase agreement can specify who will perform the inspection, what qualifications that individual must possess and where the inspection will take place. Also, the buyer should make the agreement contingent upon the buyer’s satisfaction with results of the inspection. Although the buyer is usually responsible for the expenses associated with a pre-purchase inspection, the agreement should address which party is responsible for what expenses related to the inspection.



Warranties. It is possible to include a variety of warranties in the purchase agreement representing certain conditions of the aircraft (e.g. warranties of airworthiness, merchantability, fitness for a particular purpose etc.). However, due to space limitations most of these warranties will not be discussed here.



From a buyer’s perspective, the warranty of title is probably most important. This warranty ensures that the buyer receives title to the aircraft free and clear of any liens or mortgages. Although the buyer will still want to obtain a title search of the FAA Registry’s records for the airplane, having the warranty of title included in the purchase agreement will help to minimize the risk of any unrecorded liens or interests in the aircraft.



Most sellers will want to include a disclaimer in the purchase agreement stating that the buyer is purchasing the aircraft "As-is". This language is intended to limit the seller’s responsibility for any defects or unknown conditions in the aircraft. If the buyer is having a thorough pre-purchase inspection performed by a qualified mechanic familiar with the specific aircraft, inclusion of this disclaimer in the purchase agreement is probably not a great concern for the buyer.



Choice of Law/Venue. If the transaction involves a buyer and seller from different states, it may be prudent to include language in the purchase agreement that governs what law applies to the transaction and where any disputes would have to be resolved.



Waiver and Release of Liability. The seller will want waiver and release of liability language in the purchase agreement to limit potential liability for injury or damage sustained by the buyer arising out of the buyer’s use of the aircraft. The language should be in bold, all caps letters to make sure it is obvious and not buried in the fine print of the purchase agreement.



Waiver and release of liability language will not release a seller from responsibility for the seller’s intentional acts or gross negligence. Nor will it prevent possible claims from third-parties who are injured or damaged by buyer’s use of the aircraft or from the buyer’s minor children. However, it will prevent the buyer, and the buyer’s spouse if the spouse has signed the purchase agreement, from suing the seller if a defect in the aircraft causes an accident that results in injury or damages.



What Remedy Does An Aircraft Purchase Agreement Give You?



First, an aircraft purchase agreement is not a 100% guarantee that a buyer or seller will not be sued. In this litigious world, I don’t know that such a guarantee is possible. Further, the purchase agreement alone does not make anyone do anything. If a buyer or seller does not want to comply with his or her obligations, the purchase agreement will not change that. However, the purchase agreement will give you the ability to go to court and have a judge make the non-performing or “breaching” party comply with his or her obligations.



If the purchase agreement is drafted clearly and with sufficient detail, it may be possible to have the court specifically enforce the agreement (e.g. make the breaching party do what the purchase agreement says he or she is supposed to do). An example would be where a buyer refused to complete a transaction even though the seller and the aircraft complied with all of the terms of the purchase agreement. In this case, a court could force the buyer to purchase the aircraft.



Alternatively, the court may award money damages for losses incurred by the non-breaching party. An example of this is when a seller refuses to return a deposit even though the buyer has complied with all of the terms of the purchase agreement and has a right to return of the money. In this situation, a court could enter a judgment against the seller in the amount of the unreturned security deposit.



Conclusion



An aircraft purchase agreement is a valuable tool to ensure that each party to an aircraft purchase transaction receives what is expected. It prevents confusion and misunderstanding and provides security that a party will have recourse if the other party to the transaction fails to perform as required. With minimal up-front time and expense, both buyers and sellers can protect their interests and maximize the likelihood of an uneventful closing and purchase.
